Terms of Service

These Terms of Service ("Terms") govern your use of the website and services provided by 2PY ENTERPRISES (OPC) PRIVATE LIMITED, operating as 2PY Enterprises ("we," "us," or "our"). By engaging our services or using our website, you agree to be bound by these Terms.

1. Services

2PY Enterprises provides software development, AI integration, digital marketing, and related technology services ("Services"). The specific scope, deliverables, timelines, and fees for any engagement are defined in a separate Statement of Work (SOW) or service agreement agreed upon between both parties.

We reserve the right to modify, suspend, or discontinue any part of our Services at any time with reasonable notice. We will make reasonable efforts to fulfil all committed deliverables as per the agreed SOW.

2. Payment Terms

Payment terms are specified in each individual project agreement or invoice. Unless otherwise agreed in writing:

• Invoices are due within 15 days of the invoice date.
• Project work may be paused or withheld if invoices remain unpaid beyond the due date.
• A late payment fee of 1.5% per month may be applied to overdue balances.
• All prices are exclusive of applicable taxes including GST, which will be charged as required by law.
• Refunds, if applicable, are subject to the terms of the individual project agreement.

3. Intellectual Property

Upon receipt of full payment for a project, all custom work product, code, and deliverables created specifically for the client are assigned to the client, unless otherwise stated in the project agreement.

We retain ownership of all pre-existing tools, frameworks, libraries, templates, and methodologies used in delivering Services. Nothing in these Terms grants the client any rights to our proprietary tools or processes.

You grant us a limited, non-exclusive licence to use your brand assets, content, and materials solely for the purpose of delivering the agreed Services. We may reference your company name and general project type in our portfolio unless you request otherwise in writing.

4. Client Responsibilities

To enable timely delivery of Services, you agree to:

• Provide accurate, complete, and timely information, content, and access required for the project.
• Designate a primary point of contact who is authorised to make decisions on your behalf.
• Review and provide feedback on deliverables within the timelines specified in the SOW.
• Ensure that any materials you provide do not infringe the intellectual property rights of third parties.

5. Limitation of Liability

To the fullest extent permitted by applicable law, 2PY Enterprises shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising from your use of our Services or website, even if we have been advised of the possibility of such damages.

Our total aggregate liability for any claims arising under these Terms or related to our Services shall not exceed the total fees paid by you to us in the three (3) months preceding the claim.

6. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information disclosed in the course of the engagement, including business strategies, technical architectures, pricing, and client data. This obligation survives termination of any project or agreement.

7. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of India. Any disputes arising under these Terms shall first be attempted to be resolved through good-faith negotiation. If unresolved, disputes shall be subject to the exclusive jurisdiction of the courts of Maharashtra, India.

8. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by updating the date at the top of this page. Your continued use of our Services after such changes constitutes your acceptance of the revised Terms.
